Cross-border financing into China: the legal checkpoints

Foreign debt, security and remittance issues should be mapped before signing.

Cross-border loans to PRC borrowers require more than a facility agreement. The parties must identify the borrower’s foreign-debt capacity, applicable macro-prudential limits, registration requirements and the route through which principal and interest will move.

Foreign-debt registration and account structure

Depending on the borrower and structure, NDRC filing or registration and SAFE bank procedures may apply. The financing timetable should allow for regulatory steps, foreign-debt accounts and documentary review by the handling bank.

PRC security and guarantees

Mortgages and pledges must be created and registered under PRC law. Cross-border guarantees and security may also engage SAFE rules. A security package is only useful if the asset, registration authority and enforcement route have been verified.
